Capital-Light Platform. Dual Revenue Model. Industry Convergence.
Clean Seed Capital Group originated a precision seeding architecture now being adopted across the global agricultural equipment industry. The Company operates a capital-light, partner-driven platform—scaling through OEM and regional partners and monetizing through equipment margins and licensing participation across the ecosystem.
Platform, not OEM
Clean Seed does not carry the capital intensity of a traditional equipment manufacturer. Manufacturing and distribution are executed by partners. The Company operates the architecture.
Dual revenue model
Equipment margins are generated through partner channels as units deploy. Licensing and royalty participation are generated as the architecture is adopted across the broader ecosystem.
Track record of licensing
Two active licenses — Mahindra (NSE: M&M) and the Soil + Sky Alliance — anchored by AMVAC's (NYSE: AVD) validated and monetized 2020 strategic agreement. Direct regional channels operate alongside the licenses — JAS (Mexico, 150+ activated dealer locations) is the first originated by Clean Seed. Each pathway extends the architecture into a new channel.
Three Layers. One Coordinated Platform.
OEM / Licensee Manufacturing
Mahindra produces under license. The licensing model was first validated and monetized through AMVAC's 2020 strategic agreement.
Regional Distribution
India (Mahindra), Mexico (JAS · 150+ locations), Brazil (exclusive regional partner). Local channels deliver deployment and service.
Deployment Alliance
Soil + Sky Alliance holds a platform license and carries the SMART Seeder architecture into institutional, governmental, NGO, and cooperative channels worldwide.
Structured for Participation.
Equipment margins
Associated with deployment through partner channels.
Licensing & royalties
Associated with broader adoption of the architecture.
The model is structured so that participation is not limited to units directly deployed by the Company.

Governance Framework.
The Company maintains governance policies and committee charters consistent with its status as a publicly traded issuer.
Charters and policies are being formally adopted by the Board and will be posted upon adoption.
Material Risks. Disclosed.
The platform is structured to be capital-light, partner-led, and architecturally protected — but it operates inside an agricultural equipment industry with real, identifiable risks. The categories below summarize material risk factors relevant to the business. Comprehensive risk factors are disclosed in the Company's Annual Information Form, available on SEDAR+.
Licensing & partner concentration
A meaningful share of near-term deployment is concentrated in Mahindra (NSE: M&M), the Soil + Sky Alliance, and the JAS Mexico channel. Changes in partner strategy, capability, or commercial terms could affect deployment cadence and royalty participation.
Execution by deployment partners
Manufacturing, distribution, warranty, and field service sit with licensees and regional partners. Unit volume, channel sequencing, and end-market reception depend materially on partner execution.
Agricultural cycle & commodity exposure
Equipment purchase decisions track grower economics, commodity prices, weather, and farm credit availability. Cycle compression in any of these can defer deployment volume even where deployment infrastructure is in place.
Regulatory & subsidy program risk
Country-level subsidy program inclusion, certification (e.g. ICAR India), and import classifications are subject to policy timelines and outcomes the Company does not control. Pending program participation is forward-looking.
Patent prosecution & enforcement
The licensing thesis depends on continued enforceability of the patent estate across major agricultural jurisdictions. Patent prosecution outcomes, third-party challenges, and enforcement costs are material to long-duration royalty participation.
Foreign exchange
Royalty receipts, licensing receipts, and channel margins span multiple currencies (CAD, USD, INR, MXN, BRL). FX movement may affect reported financial results.
Liquidity & access to capital
The Company is capital-light by design, but operating runway depends on the timing of royalty receipts, licensing milestones, and access to incremental capital under terms aligned with the platform model.
Reactivation & going-concern
The Company reactivated on the TSX-V on June 9, 2026. Continued listing and continuous disclosure compliance, completion of in-progress definitive agreement formalization, and ongoing operational stabilization remain material to the near-term picture.
